1. EFFECTIVITY OF T&C's

Asuroo is committed to protecting the privacy of the individuals we encounter in conducting our business. We urge our customers to read these Terms and Conditions including the PDP Statement that rule our Privacy Policies and Cookies Policy (Together, known as T&Cs) carefully. This is important because when you visit, access, use or obtain any information, content or data from Asuroo Website(s), you agree and will be bound by these T&Cs. Our T&Cs will be applicable irrespectively when you access Our Website(s) through a computer, mobile device or otherwise.

By agreeing to our T&Cs, you are entering into a binding legal agreement with Asuroo Pte Ltd, Asuroo group of Companies and our legal successors. However, if you have disagreement to these T&C's and do not wish to accept all of the terms of our T&Cs, kindly discontinue the use of the website immediately.

Periodically, Asuroo may keep you updated on the progress of this Terms & Conditions through e-mail or telephone pertaining to our service. It will be equally important for you to updated your e-mail or telephone of all your developments and changes surrounding the circumstances of our service.

3. COMMUNICATION

Unless you instructed or informed us, we will communicate with any person who is, or appears to be from the office or institution by which we were initially contacted, unless you specifically request otherwise.

To enable efficient communication between Asuroo and you, we will identify the points of contact and the preferred mode for communication together with complete contact details as provided by you.

4. REGISTRATION REQUIREMENTS

To use our service, you generally register on Our Website(s) and you must be above 18 years old and residing or domiciled in Singapore.

Through the registration, you acknowledge that all information provided by you is accurate and complete as per time of registration and you will update the information, from time to time, should any change occur.

Asuroo at its full discretion, may at any time, revoke your user registration request in the event it finds you have violated the registration requirements.

You are responsible, at all times, for the safekeeping of your registration information and all further information in relation to your application and/or policy that is/are available on your profile. You agree to provide us with immediate notice in the event you suspect that there has been misuse of your data.

5. USE OF Asuroo

As a registered user, you authorise Asuroo to manage your application and/or policy. Asuroo may offer advice, review or recommendation in relation to the insurance product but it is freely your decision to select the respective provider in Our Website(s).

You will allow Asuroo the permission to request any and all information from your insurance company in relation to the said policy, including access to Third Party Systems;

Asuroo will then use the provided information to formulate a comparison chart of your request, which will be available on Our Website(s);

The comparison chart will thereby allow you select what you really need which you will contract with your chosen provider directly via Our Website(s).

With the above mentioned, you acknowledge that:
All recommendations in Our Website(s) is/are based on the best and most sensible option available to you, and you are not obligated to enter into any contract(s);

Shall you enter into a contract with the selected provider on Our Website(s), it is your clear decision that is not influenced or forced and thereby, you agreed the T&C's.

Asuroo strongly advise you to seek independent advice should you require further review(s) and/or recommendation(s) than that already provided for you on Our Website(s)

6. THIRD PARTY CONTENT, SYSTEMS AND TRANSACTIONS

Our Website(s) may contain, and/or the Services may provide, links to other websites or content on the Internet that are owned or operated by our selected partners and/or third parties. Unless Asuroo explicitly said otherwise, you will acknowledge that these other websites are not under the control of Asuroo. We will not be responsible and shall not be liable for any errors or other consequences arising from accessing or delays in accessing such websites or content or any actions taken in reliance thereon, and we disclaim liability for any and all forms of loss or damage arising out of the use of those websites and their content.

Under no circumstances shall it be construed that, in case of your access to and use of the Third Party Systems, Asuroo is a party to any transaction, if any, between you and such third party. You acknowledge and agree that you will be solely responsible for any access to or any use of Third Party Systems through the Website or Services. If you access or use any Third Party Systems through the Website or Services, you must comply with the relevant terms and conditions of the access or use of such Third Party Systems, and be responsible for the registration and use of any user names or passwords required to connect to any Third Party Systems.

7. ACCESS AND OPERATION OF THE WEBSITE

You acknowledge that you will not obtain or attempt to obtain unauthorised access of Our Website(s), any protected information, through any means not intentionally made available by Asuroo for your specific use.

8. INTELLECTUAL PROPERTY

The information, pictures, logos, videos and all other visual files, formats or sources are Trade Marks registered and unregistered trademarks of Asuroo, Asuroo's group of companies, its related corporations, partners and/or third parties. All content in Our Website(s) is the property of Asuroo, its related corporations, and/or third parties with whom it does business, and is protected by the relevant intellectual property laws.

Nothing on this Website should be construed as granting, by implication, estoppel or otherwise, any licence or right to use any Trade Marks displayed on the Website, without the written permission of Asuroo or any other applicable trade mark owner. The name of Asuroo may not be used in any way without its prior written permission.

Unless with written permission from us to do so, you acknowledge that you are not allow to reproduce, republish, copy, store, broadcast, display, distribute, frame, hyperlink, mirror, transfer or transmit in any other manner or re-use the information and/or content or by any means unless otherwise indicated on Our Website(s).

Permission shall be given to download, print or use the information and/or content for non-commercial, personal, academic or media purpose, provided that you do not modify the information and/or content unless with written permission from Asuroo and that you do not attempt to revise, remove, or appropriate all copyright and other proprietary notices.

9. CONFIDENTIAL INFORMATION

In using Our Website(s) to provide the service you required, it shall be agreed that Asuroo cannot guarantee the confidentiality of such data, as it may be lost during transmission, or changed, or accessed by unauthorized third parties.

Asuroo will, not to use, divulge or allow to be used or divulged to anyone, any confidential and privileged information belonging to you, that you provide as a registered user on Asuroo except for the purpose of facilitating your insurance application and/or policy which you will grant full consent to your information.

10. INDEMNITY

You acknowledge and agree to indemnify and hold harmless to Asuroo, and its Indemnified Persons handling or otherwise providing the Services from and against any and all claims, actions, demands, proceedings, liabilities or judgments, and against all losses, taxes, expenses, costs, legal fees, and liabilities (present, future, contingent or otherwise on an indemnity basis), which may be suffered or incurred by any of the Indemnified Persons as a result of or in connection with a breach of this T&C's in connection with the Services.

11. EXCLUSION AND LIMITATION OF LIABILITY

You agree to be solely responsible for your operations in acting under this T&C's, including, without limitation, the legality of your operations and materials created and used in connection with this T&C's.

Neither Asuroo nor any Indemnified Person shall be liable in contract, tort (including negligence or breach of statutory duty) or otherwise, for (i) any loss of profit, business or revenue, (ii) any costs or expenses, or any special, indirect or consequential damages of any nature whatsoever, suffered or incurred by you as a result of or in connection with the provision of the Services, except to the extent that the final judgment of a court of competent jurisdiction holds it to have resulted directly and solely from the willful default or gross negligence of the relevant Indemnified Person in performing its service.

12. TERMINATION

Either Party may terminate this T&C's for any or no reason, upon 30 days' prior written notice to the other Party, provided, however, this T&C's may be terminated by Asuroo immediately in the event you have breached this T&C's and/or any terms or conditions applicable to Our Website(s) and its service, or otherwise commercially damaging for Asuroo or its users. Both Parties agree the opportunities presented by this T&C's constitute adequate consideration for such a termination right.

Neither Party shall be liable for any damages resulting from the termination of this T&C's, provided, however, the termination of this T&C's shall not affect any claim arising prior to such termination.

Each Party shall be responsible for its own expenses relating to any such termination.

The termination of this T&C's shall not affect the term, validity or enforceability of any separate agreement between both Parties in effect as of the date of termination of this T&C's, including any other Asuroo agreement entered into by you. All obligations under this T&C's of a continuing nature shall survive termination.

13. NO ASSIGNMENT & THIRD PARTY RIGHTS

No one individual, group of people, company, cooperation, organization has/have the right under the Contracts (Rights of Third Parties) Act (Cap. 53B) of Singapore to enforce any provision of this T&C's on behalf of Asuroo.

No one individual, group of people, company, cooperation, organization has/have any of its rights, or delegate the performance of any of its duties, under this T&C's, without prior written consent of Asuroo.

14. NOTICES

All notices between both Parties provided for or permitted under this T&C'S or by law shall be in writing and shall be deemed duly served when (i) delivered, if delivered by courier or other messenger (including registered mail) during normal business hours of the recipient; (ii) when sent, if transmitted by fax or e-mail; (iii) on the fifth business day following mailing, if mailed by national ordinary mail, postage prepaid; or (iv) on the tenth business day following mailing, if mailed by airmail, postage prepaid; in each case addressed to the most recent address, e-mail address, or facsimile number notified to the other Party.

15. UNIVERSAL

This T&C's constitutes the entire agreement of the Parties relating to the provisions set out in the use of Our Website(s). This T&C's will supersede all prior communications, contracts, or agreements, written or oral, agreements between the Parties with respect to any provisions set out in this T&C's.

In the event any provisions of this T&C's are found to be or become unlawful, invalid or otherwise unenforceable, that provision is deemed severed from this T&C's and shall not affect the legality, validity and enforceability of the remaining provisions of this T&C's, and shall continue in force as if such unlawful, invalid or unenforceable provision was severed from this T&C's.

Any failure or delay by you or Asuroo in exercising or enforcing any rights or remedy contained in this T&C's does not constitute a waiver by the Party responsible for such delay or failure. It shall also not constitute a bar to the exercise or enforcement at any subsequent time or times. Waiver of any right arising from a breach or non-performance of this T&C's or arising upon default under this T&C's shall be in writing and signed by the Party granting the waiver.

In this T&C's, any reference to any legal entity or individual person includes, where appropriate, a reference to its authorised agents, delegates, successors or nominees. Expressions in the singular form include the plural and vice versa.

No rule of law (or interpretation to the effect) that an ambiguity in a document is to be construed against the party drafting or preparing such document shall apply in respect of this T&C's.

16. GOVERNING LAW AND JURISDICTION

This T&C's shall be governed and construed in accordance with Singapore law. With respect to any Proceeding, each party shall submit to the non-exclusive jurisdiction of the courts of Singapore.
